TORONTO, ONTARIO--(Marketwired - Feb 19, 2016) - Franco-Nevada Corporation ("Franco-Nevada" or the "Company") (TSX:FNV)(NYSE:FNV) announced today the closing of its previously announced public offering (the "Offering") of 19,228,000 common shares ("Offered Shares"), including the exercise in full by the underwriters of the over-allotment option, at a price of US$47.85 per Offered Share for aggregate gross proceeds to the Company of approximately US$920 million.
The Offered Shares were sold on a bought-deal basis through a syndicate of underwriters led by BMO Capital Markets, CIBC Capital Markets, RBC Capital Markets, and Scotiabank. The Company plans to use the net proceeds of the Offering for the funding of the acquisition by the Company's wholly-owned subsidiary, Franco-Nevada (Barbados) Corporation, of a precious metals stream with reference to production from Glencore plc's Antapaccay Mine located in Peru, as announced on February 10, 2016 (the "Antapaccay Transaction"), and the balance will be added to the working capital of the Company and used for further investments, other general corporate purposes, and/or may be used to pay down the Company's credit facility.
